TERMS AND CONDITIONS

Introduction

These terms and conditions govern the provision of 3PL (Third Party Logistics) warehouse services by the Commercial Space for Rent and Lease Provider (“CSRLP”) to its clients. By engaging the services of CSRLP, the client agrees to these terms and conditions.

Scope of Services
CSRLP shall provide the client with 3PL warehouse services, which include but are not limited to warehousing, inventory management, order fulfillment, pick and pack services, and shipping and receiving services. CSRLP shall provide these services in a professional and timely manner, consistent with industry standards.

Fees and Charges
The client shall pay CSRLP for the 3PL warehouse services provided in accordance with the fee schedule agreed upon by both parties. CSRLP reserves the right to adjust its fees at any time upon written notice to the client. In addition to the fees, the client shall be responsible for any applicable taxes, duties, or other charges related to the services provided.

Client Obligations
The client shall be responsible for providing CSRLP with accurate and complete information regarding the goods to be stored, including but not limited to the quantity, description, and value of the goods. The client shall also be responsible for ensuring that the goods comply with all applicable laws and regulations.

The client shall provide adequate packaging and labeling for the goods and shall ensure that the goods are packaged in a manner that is suitable for storage and transportation.

The client shall be responsible for insuring the goods against loss or damage while they are in the custody of CSRLP.

Liability and Indemnification
CSRLP shall not be liable for any loss or damage to the goods, unless such loss or damage is caused by the gross negligence or willful misconduct of CSRLP. In no event shall CSRLP be liable for any indirect, incidental, or consequential damages.
The client shall indemnify and hold CSRLP harmless from any claims, damages, or expenses arising out of or in connection with the client’s use of the 3PL warehouse services, including but not limited to claims for infringement of intellectual property rights or breach of contract.

Termination
Either party may terminate the 3PL warehouse services upon written notice to the other party. Upon termination, the client shall remove its goods from the warehouse within a reasonable time, and shall pay all outstanding fees and charges.

Confidentiality
CSRLP shall keep confidential all information provided by the client regarding the goods to be stored, and shall not disclose such information to any third party without the client’s prior written consent.

Governing Law and Dispute Resolution
These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which CSRLP operates. Any dispute arising out of or in connection with these terms and conditions shall be resolved by arbitration in accordance with the rules of the relevant arbitration association.

Entire Agreement
These terms and conditions constitute the entire agreement between CSRLP and the client with respect to the 3PL warehouse services and supersede all prior or contemporaneous agreements, understandings, or representations, whether oral or written.

Amendments
CSRLP reserves the right to amend these terms and conditions at any time upon written notice to the client. The client’s continued use of the 3PL warehouse services after receiving such notice shall constitute acceptance of the amended terms and conditions.

By engaging the services of CSRLP, the client agrees to these terms and conditions.
